1. Introduction

These Terms and Conditions ("Terms") govern the access and use of services provided by Konfigear SP ("Konfigear", "we", "our", "us").

By using our website, platform, or services, you ("Client", "User") agree to be bound by these Terms.

If you do not agree, please refrain from using the services.

2. Scope of Services

Konfigear provides cloud-based 3D configuration and CPQ (Configure-Price-Quote) software solutions for businesses and organizations.

We also operate Konfiwear, a software-as-a-service (SaaS) platform for custom apparel configuration.

Our services include but are not limited to:

Development and setup of custom 3D configurators
Integration with eCommerce and ERP systems
Web-based access to hosted configuration tools
Maintenance, hosting, and technical support

3. Account Creation and Access

Some parts of the service may require creating an account or organization.

Users must:

Provide accurate and complete information.
Keep login credentials confidential.
Be responsible for all activities under their account.

Account sharing between multiple clients or third parties is not permitted.

Konfigear reserves the right to suspend or terminate accounts that violate these conditions.

4. Pricing, Payment, and Refund Policy

Our services are charged through a combination of:

Setup Fees (one-time): for initial configuration, integration, and 3D development.
Subscription Fees (monthly or yearly): for hosting, database, APIs, cloud storage, and continued platform access.

Setup Fees

Setup fees are non-refundable as they represent custom development services specific to the client's project.

Subscription Fees

Subscription payments can be canceled at any time.

If canceled before the next billing cycle, future payments will stop, and any prepaid months or years will be refunded proportionally for the unused period.

Invoices are issued electronically, and all prices exclude applicable taxes (VAT or other regional taxes).

5. Client Responsibilities

Clients agree to:

Provide the necessary information, assets, or product data for project setup.
Use the platform in accordance with applicable laws.
Not use the service for illegal, defamatory, or malicious activities.
Ensure that uploaded materials (e.g., 3D models, logos, images) do not infringe on third-party intellectual property rights.

Failure to comply may result in account suspension or termination without refund.

6. Intellectual Property Rights

All software, configurators, source code, 3D engines, and visual assets developed or provided by Konfigear remain the exclusive intellectual property of Konfigear SP.

Clients retain ownership of their own uploaded content (such as brand assets, logos, product references, or images) but grant Konfigear a non-exclusive right to host, process, and display that content within the service.

Clients are not permitted to copy, modify, resell, or redistribute the Konfigear platform or its components without prior written authorization.

7. Service Availability and Limitations

Konfigear strives to maintain consistent service availability; however, we do not guarantee uninterrupted operation of the platform due to dependencies on third-party providers such as cloud hosting, databases, or email delivery systems.

Temporary interruptions, maintenance periods, or service limitations may occur.

We will make reasonable efforts to notify clients of scheduled maintenance or outages.

8. Support and Communication

We provide technical and customer support via:

Response times may vary depending on the service plan and issue complexity.

9. Data Protection and Privacy

All personal data is collected and processed in compliance with the General Data Protection Regulation (GDPR) and Spanish data protection laws (LOPDGDD).

10. Limitation of Liability

Konfigear will not be liable for:

Indirect, incidental, or consequential damages arising from the use or inability to use the service.
Data loss, downtime, or delays caused by third-party systems, hosting providers, or user actions.
Any financial loss beyond the total amount paid for the service within the last 12 months.

Our total liability for any claim is strictly limited to the amount paid by the client during the subscription period in which the issue occurred.

11. Termination

Either party may terminate the agreement by written notice.

Termination will:

End access to hosted services at the end of the billing cycle.
Not affect any accrued fees or completed development work.

Konfigear reserves the right to suspend or terminate service for breach of these Terms or misuse of the platform.

12. Changes to the Terms

We may modify these Terms at any time to reflect service updates, legal requirements, or operational changes.

Updated versions will be published on our website with a revised "Last Updated" date.

Continued use of the platform implies acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms and all related matters are governed by Spanish law.

Any disputes shall be submitted to the courts of Asturias, Spain, unless otherwise required by mandatory consumer protection laws.
